That NYC, acting as a Shareholder/owner of Veritau Ltd (the “Company”), has approved:
• the appointment of Anton Hodge as a director to the Company;
• the removal of Gary Fielding as director to the Company.

Veritau Ltd (“the Company”) is jointly owned by North Yorkshire Council and City of York Council. There is a requirement for there to be an equal number of North Yorkshire Council Directors and City of York Directors. One of the North Yorkshire Council directors must be the chief finance officer, section 151 officer or such other appropriate officer of North Yorkshire Council. North Yorkshire Council may at any time remove such director from office and appoint another person in their place.
There is a requirement to remove Gary Fielding as a result of his departure from North Yorkshire Council.

Anton Hodge has been appointed as the Council’s interim s.151 Officer and is therefore the necessary person to appoint to this position on behalf of the North Yorkshire Council.

Director appointments and removal of Council directors are specifically delegated to the Shareholder Representative under the Shareholder Committee terms of reference.

The following options were considered and rejected:
• Not appointing a Director – this option was rejected as appointing a Director ensures compliance with the Company’s governance
