That NYC, acting as a Shareholder of Veritau Public Sector Limited (the “Company”), has approved:
• subject to agreement of the Company’s Member’s Committee, the appointment of Anton Hodge as a director to the Company.

Veritau Public Sector Limited (“the Company”) is jointly owned by a number of local authorities, including the Council. Directors of the Company are appointed by the Company’s Member’s Committee in accordance with the Articles of Association.

Gary Fielding had been appointed as a director of the Company but, in accordance with the Articles of Association, this appointment ceased once he ceased to be an employee of the Council. It is therefore proposed to appoint a new Council director, subject to agreement of the Company’s Member’s Committee.

Director appointments on behalf of North Yorkshire Council are specifically delegated to the Shareholder Representative under the Shareholder Committee terms of reference.

The following options were considered and rejected:
• Not appointing a Director – this option was rejected as, due to its status as an original member of both the Company and Veritau Ltd, the Council seeks direct representation on the Board
