That NYC, acting as Shareholder/owner of Bracewell Homes Limited (the “Company”), has approved the appointment of the following directors to the Company:

Vicki Dixon (Assistant Director Resources)

Bracewell Homes is a Limited Liability Company wholly owned by North Yorkshire Council. Current directors are Nic Harne (Corporate Director for Community Development) and Rachel Joyce (Assistant Chief Executive Local Engagement). Paul Foster was a Director but has now retired from his role as director of Bracewell Homes Ltd with effect from 9th March 2026. The Article of Association for Bracewell Homes Ltd stipulate a minimum of three directors. To replace Paul Foster and to comply with the Articles of Association it is therefore proposed to appoint Vicki Dixon (Assistant Director Resources).

The company’s articles of association include various reserved matters, which are decisions that must be taken by the company’s shareholder. As NYC is the sole shareholder of the Company, NYC’s approval is required to enable the Company to appoint a new director. Director appointments are specifically delegated to the Shareholder Representative under the Council’s constitution
