Decision:

To appoint Martin Duffy as a Non-Executive Director and Chairman onto the Board of NY Highways Limited for a period of three years with effect from 1 April 2021.

Reasons for the decision:

NY Highways is a wholly owned company of the County Council and has been set up using the “teckal” exemption. The company starts trading on 1st June 2021 and has a current board of directors made up of 2 Council appointed directors and an executive Managing Director. In accordance with the company’s articles of association, the company wishes to appoint a non-executive chairman to the board of directors. Martin Duffy has a large amount of experience in the highways sector, in both the private sector and local authority. Therefore in order to ensure the smooth progression of the company for the next few years it is felt appropriate and prudent to appoint Martin Duffy to the board. This position will be reviewed regularly and in accordance with Martin’s letter of appointment. This post will be a paid position of £16,000 a year which will be funded directly by the company

Alternative options considered:

Not to appoint an additional Non-Executive Chairman to the Board. This option was rejected as it was considered additional expertise was needed for the Board to ensure progress and support of the company going forwards.
