Decision:

To re-appoint Martin Duffy as a Non-Executive Director onto the Board of NY Highways Limited for a period of three years commencing on 1 April 2024.

Reasons for the decision:

NY Highways is a wholly owned company of The North Yorkshire Council and has been set up using the “teckal” exemption. The Company started trading on 1st June 2021 and has a current board of directors made up of 2 Council appointed directors, a non-executive director and chairman, and a non-executive Managing Director.

In accordance with the Company’s articles of association, it wishes to re-appoint Martin Duffy as non-executive director and chairman to the board of directors.

Martin Duffy has a large amount of experience in the highways sector, in both the public and private sectors. It is felt appropriate and prudent to re-appoint Martin Duffy to the board. This position will be reviewed at the end of the calendar year.

Alternative options considered:

The following options were considered and rejected:

1. To uplift Martin’s renumeration in line with the NYC uplift in pay. It was determined that Martin is a well-respected Highways Industry professional with over 40 years of experience and his continued involvement with the Company will assist with the Company’s journey from an internal provider to an external contractor.
